ChatbotCard Arbitration & Venue Policy

Effective Date: August 2, 2026

This policy explains how legal disputes relating to ChatbotCard, its products, software, subscriptions, AI services, NFC products, and websites will be handled.

1. Good-Faith Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith discussions by contacting the other party and allowing a reasonable opportunity to resolve the matter.

2. Binding Arbitration

Where permitted by applicable law, disputes that cannot be resolved informally may be submitted to binding arbitration instead of being decided in court. Arbitration will be conducted under the applicable arbitration rules agreed upon by the parties or otherwise permitted by law.

3. Court Venue

If arbitration is unavailable or unenforceable for a particular claim, the exclusive venue for any legal action shall be the state or federal courts located in the State of Florida, unless applicable law requires otherwise.

4. Governing Law

These policies and all disputes relating to ChatbotCard are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

5. Class Action Waiver

To the fullest extent permitted by law, claims must be brought on an individual basis. You agree not to participate in any class action, consolidated action, or representative proceeding against Nyla Technologies LLC unless prohibited by applicable law.

6. Exceptions

Either party may seek temporary injunctive relief or pursue claims in small claims court where permitted by law.
